All such guidelines or rules are hereby incorporated by reference into these Terms of Use. If any terms contained in this Terms of Use conflict with any terms contained within such guidelines or rules, then the terms in this agreement shall prevail.

1. REGISTRATION AND MEMBERSHIP

A. Accessing the Site and Becoming a member
While there are parts of the Website that are available only to individuals who purchase a fee-based membership and services, there is no cost to register on our website or use our non-fee-based services. If you are merely surfing or browsing through the site and have not yet registered to become a member, your use of the website is still subject to the Terms of Use; if you do not agree to the Terms of Use, do not use the website. The services available to you will vary depending upon whether you register as a member and whether or not you choose to purchase a fee-based membership. Your use of the Website may also be subject to terms outlined elsewhere in this agreement. You are responsible for reviewing these terms as they also form a binding part of our agreement with you. Once you register with us as a non-paying member or purchase a fee-based subscription, we consider you a “member” of the Digital Dental Forum community.
B. Your Information:
When you register on the Website, we may ask you to provide us with certain personal information about yourself including, without limitation, your name, address, telephone number, email or other electronic address and applicable billing information (e.g., credit card number and expiration date) (collectively, “Your Information”). Please review our Privacy Policy for clarification on how we may use Your Information and other information that you may provide or submit while using the Website and our Services. For your part, you agree that all Your Information that you provide to us is complete, accurate and up to date. You will notify us of any changes to Your Information. If you fail to update Your Information or if all or part of Your Information is (or appears to be) untrue, inaccurate, or incomplete we may suspend or terminate your membership and refuse any and all current or future use of our Website and Services, without refund to you of any fees paid.
C. Your User Account: 
During the registration process you will be required to choose a specific user ID. We will also ask you to create a password. Because any activities that occur under your user ID or password are your responsibility, You are entirely responsible for maintaining the confidentiality of your password and User ID/ account access information. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware, by e-mailing us at digitaldentalforum@gmail.com. You agree that you will not hold us liable for any loss, injury, or claims of any kind resulting from your failure to comply with this section.
Without limiting any of the foregoing, you are responsible for ensuring that the email address you submit to the Site as part of your registration and during the course of your membership is valid and that the services, software or systems you use to access your email do not block or filter communication from Digital Dental Forum.
You may cancel your registration at any time by contacting us via email at digitaldentalforum@gmail.com. If you have purchased a fee-based Service from us, any such termination or cancellation is subject to the refund policy.
D. Communications: 
From time to time we will send you communications, in keeping with our Privacy Policy and as otherwise permitted in these Terms of Use. Please note that any number of issues may interfere with your receipt of such communications, including, without limit, some types of email systems that may use filtering or blocking techniques that are intended to block email. Digital Dental Forum is not responsible for the actual delivery or your receipt of these communications.
E. Termination of Membership:
If we determine, in our sole discretion, that you are not in compliance with the Terms of Use, we reserve the right to terminate your membership. Upon any termination or cancellation of your membership, we may immediately deactivate or delete your membership and all related information and/or bar any further access to your membership or account.

2. MEMBER CONDUCT

A. Community Guidelines: 
The Website contains a Forum section that enables members of the community to communicate and share information. When you use the Forum section of the Website, you may have the opportunity to disclose, post, or otherwise upload to publicly accessible portions of the Website, or share with other members, information and other content. While we may provide you with these tools and opportunities, we also wish to remind you that you should choose carefully which information you post on the Website and that you provide to other members.
You are required to use the Communication Tools responsibly, just as you would act responsibly when communicating or interacting with others in your offline communities. As a result, we expect and require that you take full responsibility for the Content that you post or send through the Website. We have established some Community Guidelines that we hope will increase your awareness of your responsibilities to others when using the Communication Tools and will enhance your enjoyment of our Website. These Guidelines are incorporated by reference into this Terms of Use. We may update these Guidelines from time to time. B. Prohibited Use:

Any use or attempted use of this Site
(i) for any unlawful, unauthorized, fraudulent or malicious purpose;

(iii) that could interfere with any other party’s use and enjoyment of the Site;

(vi) to obtain any materials or information through any means not intentionally made available by Digital Dental Forum ; or

Digital Dental Forum reserves the right to take whatever lawful actions it may deem appropriate in response to actual or suspected violations of the foregoing including suspension or termination of your account and bar any further access by you to the website. Digital Dental Forum may cooperate with law enforcement authorities and/or third parties in the investigation of any suspected or alleged crime or civil wrong. Except as may be expressly limited by the Privacy Policy, Digital Dental Forum reserves the right at all times to disclose any information as it deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Digital Dental Forums’ sole discretion.

B. Monitoring and Enforcement. 
 We actively monitor the Forum; however, we are not obligated to do so. Because community standards vary and individuals sometimes choose not to comply with our policies and practices, in the process of using our Website, you may be exposed to Content that you find offensive or objectionable. You can contact us directly at digitaldentalforum@gmail.com to let us know of Content that you find objectionable. We will investigate the complaints that come to our attention. If we choose to investigate the complaint, we will take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the Content or terminating memberships. However, because situations and interpretations vary, we also reserve the right not to take any action. In such cases, we may not remove Content that you believe is objectionable or offensive. Please remember that you can always choose to refrain from using any part of the Website that exposes you to something that you are uncomfortable with. Under no circumstances will we be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any Content.

3. SUBMITTING OR POSTING CONTENT.

Please remember that you are solely responsible for all Content that you provide and You represent and warrant that (a) you are the sole owner, author and copyright owner of User Content you contribute to the Site or you have written permission from the author, owner or copyright owner to make such User Content available to the website as “User Content”, and (b) such User Content does not infringe upon any third party rights (including but not limited to any copyright, patent, trademark, trade secret, other intellectual property rights, moral rights, privacy rights or publicity rights); (c) such User Content complies with this Agreement and does not contain any defamatory, libellous or obscene material; (d) such User Content does not violate any applicable laws, regulations, or contain any false statements or misrepresentations; and (e) you have the written consent, release, and/or permission of each and every identifiable individual person, or the owner/author of any objects or work in such User Content to use the name or likeness of each and every such identifiable individual person, object or work, to enable inclusion and use of such User Content in the manner contemplated by the Service and this Agreement; (e) you have the right to grant any and all necessary rights and licenses provided in this Section, including without limitation, all necessary copyright and other related rights to the Content, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity.

By posting on the Forum you acknowledge that:

  • Uploaded content does not contain Protected Health Information as defined by the Health Insurance Portability and Accountability Act of 1996 (United States of America); or You have received the required patient’s written consent or authorization to post content that contain PHI.
  • The information being posted will become public and will not be treated as PHI as that term is defined by HIPAA.
  • Should you post images of yourself, your own biographic information (i.e. name, address, phone number, etc.), or information related to your health, such information will become public and will not be treated as Protected Health Information as defined by the Health Insurance Portability and Accountability Act of 1996.
  • If you do not want the information to be public, please do not post on the forum or the website.

4. INTELLECTUAL PROPERTY RIGHTS

Except as otherwise expressly stated, the website, its compilation (meaning the selection, coordination, and arrangement) and all content appearing on the Site are the exclusive property of Digital Dental Forum or its third-party content providers and are protected by all applicable intellectual property and other laws throughout the world.

The domain name for the Site, the Digital Dental Forum logo and elements of the design of the Site are service marks, trademarks, logos, and/or trade dress of Digital Dental Forum. All other trademarks, service marks, trade dress, product names, company names or logos, whether registered or not, on the Site are the property of their respective owners. In addition to complying with all applicable laws, you agree that you will not use any such trademarks, service marks, trade dress, or other logos from the Site without the prior written authorization of Digital Dental Forum.

Permission for all other uses of Content, service marks, trademarks, logos, trade dress or other intellectual property contained herein, including reproducing and distributing multiple copies or using Content, service marks, trademarks, logos, trade dress or other intellectual property on any other website or networked computer or linking to any page of the Site, must be obtained from Digital Dental Forum or the appropriate rights owner in advance; otherwise, such use is prohibited. Requests for such authorization from Digital Dental Forum should be submitted via email. All design rights, databases and compilation and other intellectual property rights associated with the Site, in each case whether registered or unregistered, and related goodwill, are proprietary to Digital Dental Forum.

B. Content Contributed to the Site by Members
The Website contains a Forum section that enables members of the community to communicate and share information. In this Agreement, we refer to all of this Content provided by users as “User Content”.
While Digital Dental Forum does not claim any ownership interest in your User Content, we do need the right to use your User Content to the extent necessary to provide the Site and Services to users, including to display your User Content in the manner requested by you to operate the Site and Services. In order for us to make the User Content you contribute available on the Site for these purposes, and to operate, market and promote the Service, we need the right to make use of such User Content in accordance with and subject to this Agreement.
Therefore, by contributing User Content to the Site or creating it on the Site you automatically grant to us an irrevocable and perpetual (except as set forth in this Agreement), non-exclusive, transferable, fully-paid, royalty-free (except as expressly set forth in this Agreement), worldwide license, by ourselves or with others, to use, copy, distribute, publicly perform, publicly display, print, publish, republish, excerpt (in whole or in part), reformat, translate, modify, revise and incorporate into other works, that User Content and any works derived from that User Content, in any form of media or expression, in the manner in which the Service from time to time permits User Content to be used, in compliance with all applicable laws, and to license or permit others to do so. Our rights under this license remain in place even after termination of this Agreement or your account.
Our rights to “modify, adapt, translate, and create derivative works from” are necessary because the normal operation of the Services does this to your User Content when it processes it for use in the Website. This license also grants us the right to sublicense that User Content to other users to permit their use of that User Content in the manner in which the Service from time to time permits User Content to be used. We may from time to time change the manner in which User Content can be used by the Service, and if we do so any license you have granted to us under this Section shall automatically be extended to new uses permitted by the Service, and any of our rights under licenses previously granted to us for uses no longer permitted by the Service shall continue as described herein.
If you contribute User Content to the Site, it is your responsibility to check the Site from time to time to review how we permit User Content to be used. You may at any time, on written notice to us, terminate your use of the Site and this Agreement in the manner provided below. Upon any termination, whether by you or by us, your license of your User Content to us and our sublicenses to others shall also terminate, provided that after such termination that license and those sublicenses will continue with respect to any Permitted Use of your User Content that commenced prior to the effective time of the termination, until that Permitted Use ceases. A Permitted Use is any use of Content permitted by this Agreement or the Service prior to the termination. Also, if you choose to terminate, we may retain a copy of the applicable User Content for archival purposes, particularly if it violates Section 2 of this Agreement. Finally, if your use of the Site or this Agreement terminates for any reason, or Content is removed from the Site, your license hereunder to use the Content or the removed Content, as the case may be, terminates immediately. Digital Dental Forum reserves the right to remove Content from the Site at any time, without notice, for any reason, or for no reason, in its sole discretion.
C. Claims of Intellectual Property Infringement:
Digital Dental Forum respects the intellectual property of others and takes the protection of copyrights and all other intellectual property very seriously, and Digital Dental Forum asks our users to do the same. Digital Dental Forum therefore employs measures to prevent copyright and other intellectual property infringement on the Site. If you believe that your work has been copied in a way that constitutes copyright or other intellectual property infringement, please send a written notification of the claimed copyright or other intellectual property infringement to us at digitaldentalforum@gmail.com

5. AVAILABILITY OF SERVICES:

Digital Dental Forum does not provide you with access to the Internet or the equipment necessary to access the Internet or the Website or Services. You are responsible for the fees charged by other parties to obtain access to our Website and Services (by way of example only, Internet service provider or airtime charges) and for providing the equipment necessary to access the Website and Services. From time-to-time, Digital Dental Forum may modify, suspend or discontinue any of the Services offered on our Website without notice to you. Digital Dental Forum shall not be liable to you for any modification, suspension or discontinuance of Services. Digital Dental Forum may establish certain policies and practices concerning use of the Services, including without limitation the number of days that any items will be retained on our systems. Digital Dental Forum has no responsibility or liability for the deletion or failure of any Content maintained by our Services. We reserve the right to change our practices and policies at any time, in our sole discretion, with or without notice to you.

Digital Dental Forum does not endorse any of its Users or any members registered on the platform. In addition, although these Terms require Members to provide accurate information, we do not attempt to confirm, and do not confirm, any Member’s purported identity or credentials. You are responsible for determining the identity and suitability of others who you contact via the Site. By using the Site, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other Members or other third parties will be limited to a claim against the particular Members or other third parties who caused you harm and you agree not to attempt to impose liability on or seek any legal remedy from Digital Dental Forum with respect to such actions or omissions.

This Site may contain hyperlinks to other sites owned and operated by parties other than Digital Dental Forum. Such hyperlinks are provided only for ready reference and ease of use. 11. SUBSCRIPTION SERVICES

Some features of, or services provided through the Website require a fee-based subscription. If you elect to purchase subscription services you understand that your subscription is personal to you, and you may not transfer or make available your account name and password to others, including without limitation your co-workers. Any distribution by you of your account name and password may result in cancellation of your subscription without refund and in additional charges based on unauthorized use. From time to time the subscription services may change, without prior notice.

If you have a dispute with us relating to the Website or the subscription services, you may cancel the subscription services. The cancellation of subscription services is your only remedy with respect to any such dispute that you may have with us. We will attempt to process all cancellation requests within 72 hours after we receive your request. Any such termination or cancellation is subject to the no-refund policy described below.

Please remember that if we determine, in our sole discretion, that you are not complying with the Terms of Use, we reserve the right to terminate your subscription services. Upon any termination or cancellation of your subscription services, we may immediately deactivate or delete your Website membership and all related information and/or bar any further access by you to the Website.

Prices for all Subscription Services exclude all applicable taxes and telecommunication charges, unless expressly stated otherwise. To the extent permissible under law, you are responsible for any applicable taxes, whether or not they are listed on your receipt or statement. If you purchase subscription services, you agree to pay, using a valid credit card (or other form of payment that we may accept from time to time), the applicable fees and taxes (if any) set forth on the Website. We reserve the right, upon prior notice to you, to change the amount of any fees and to institute new fees, effective at the end of your current subscription period. All authorized charges will be billed to your designated credit card account (or other payment method) on the terms described in the specific offer. 12. REFUND/CANCELLATION POLICY

– Payment for registration of membership with Digital Dental Forum is non-refundable.
– Upon cancellation or termination of Membership, no partial months will be refunded.
– Any registration or subscription fee that you’ve paid for an event or seminar or other service will not be refundable under any circumstances.
– If you have any questions regarding the refund/ cancellation policy, please write an email to digitaldentalforum@gmail.com.

13. PRIVACY

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS DIGITAL DENTAL FORUM, ITS AFFILIATES, CONTRACTORS, AND ITS DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, PROPRIETORS, PARTNERS, SHAREHOLDERS, SERVANTS, PRINCIPALS, AGENTS, PREDECESSORS, SUCCESSORS, ASSIGNS, ACCOUNTANTS, AND ATTORNEYS FROM AND AGAINST ANY AND ALL SUITS, ACTIONS, CLAIMS, PROCEEDINGS, DAMAGES, SETTLEMENTS, JUDGMENTS, INJURIES, LIABILITIES, OBLIGATIONS, LOSSES, RISKS, COSTS, AND EXPENSES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES AND LITIGATION EXPENSES) RELATING TO OR ARISING FROM YOUR USE OF THIS SITE, ANY INSTANCE OF FRAUD, VIOLATION OF LAW, OR WILLFUL MISCONDUCT, AND ANY BREACH OF THESE TERMS OF USE COMMITTED BY YOU.

17. DISPUTE RESOLUTION

A. ARBITRATION
In the event that a dispute arises between you and Digital Dental Forum as per these Terms, the parties shall attempt to amicably resolve the dispute through mutual discussions. Where the dispute is not resolved for a period of 90 days from the date of the dispute, either party may, upon giving written notice to the other party, declare its intention to initiate arbitration proceedings. The arbitration will be conducted in the English language in accordance with the rules prescribed under the Indian Arbitration and Conciliation Act, 1996. The venue for the arbitration shall be Mumbai, Maharashtra. The arbitration shall be conducted by a sole arbitrator appointed by Digital Dental Forum. The award of the arbitrator shall be final and binding on the parties. Each party shall bear its own cost of arbitration.

B. GOVERNING LAW AND JURISDICTION
These Terms of Use, your access and use of the Website and Services and the relationship between you and Digital Dental Forum are governed by the laws of the Republic of India, without regard to conflict of law principles.

Any disputes arising out of or in connection with this agreement and/or related terms will be subject to the jurisdiction of the courts located in Mumbai, Maharashtra, India.

You are responsible for complying with local laws, if and to the extent local laws are applicable. Notwithstanding the foregoing, Digital Dental Forum shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief in Digital Dental Forum’s sole discretion. Regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to use of the Website or the Terms of Use must be filed within one (1) year after such claim or cause of action arose or be forever barred.

19. NON-AGENCY:

Neither these Terms of Use, the Privacy Policy, nor any Content, materials or features of this Site create any partnership, joint venture, employment, or other agency relationship between us. You may not enter into any contract on our behalf or bind us in any way.

20. WAIVER

The failure of a Party to insist upon strict performance of any provision of this or any Agreement or the failure of a Party to exercise any right or remedy to which they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this Agreement or any of its clauses shall be effective unless it is expressly stated to be such in writing and signed by the respective Parties.

21. FORCE MAJEURE:

Digital Dental Forum shall not be liable for any failure to perform any obligation under this or any Agreement which is due to an event beyond our control including but not limited to any Act of God, terrorism, war, Political insurgence, insurrection, riot, civil unrest, act of civil or military authority, uprising, epidemic or pandemic diseases, errors or downtime in networks, power supply, gateway or similar failures of communication earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen. In any such event, we shall forthwith inform you of the same and shall use all reasonable endeavours to comply with the terms and conditions contained herein.

22. ASSIGNMENT:

You may not assign any of your rights under these Terms of Use, and any such attempt will be null and void. Digital Dental Forum may, in its discretion, transfer, without further consent or notification, all contractual rights and obligations pursuant to these Terms of Use. This agreement will inure to the benefit of Digital Dental Forum’s successors, assigns and licensees.

23. SEVERABILITY:

All parts of these Terms of Use apply to the maximum extent permitted by law. It is hereby agreed between the parties that if we cannot enforce a part of this contract as written, then that part will be replaced with terms that most closely match the intent of the part we cannot enforce to the extent permitted by law. The invalidity of part of these Terms of Use will not affect the validity and enforceability of the remaining provisions. The section headings are for convenience and do not have any force or effect.

24. ENTIRE AGREEMENT:

The Terms of Use, the Additional Terms below, the attachments thereto, and the documents incorporated by reference, constitute the entire understanding between us regarding your access to, license and use of the Website and our Services, and they supersede any prior agreements, statements or representations with respect to the same.
